These Terms govern all access to and engagement with Sonjeo Global. They are drafted to protect Sonjeo and to allocate risk to the fullest extent permitted by law. Read them carefully.
01 Acceptance
By accessing the platform or engaging with Sonjeo, you agree to these Terms on behalf of yourself and any entity you represent, and you warrant that you are authorized to do so.
02 No Offer; No Advice
Nothing on the platform or communicated by Sonjeo constitutes an offer, solicitation, recommendation, or investment, legal, tax, or financial advice, nor an inducement to enter any transaction. You rely on any information at your own risk and must obtain your own independent advice.
03 Eligibility & Engagement by Mandate
Sonjeo operates by mandate only and engages exclusively with principals and qualified counterparties it accepts in its sole discretion. We may decline, suspend, or terminate any engagement at any time, for any or no reason, without liability.
04 Intellectual Property
All content, marks, structures, methodologies, and materials are the exclusive property of Sonjeo or its licensors. No license or right is granted except a limited, revocable right to view the platform for evaluation. Any other use is prohibited.
05 No Warranties
The platform and all information and services are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any warranty of accuracy, merchantability, fitness for a particular purpose, title, or non-infringement, all of which are expressly disclaimed.
06 Limitation of Liability
To the fullest extent permitted by law, Sonjeo, its affiliates, officers, Managing Directors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profit, opportunity, data, or goodwill. Our aggregate liability for any claim shall not exceed one hundred United States dollars (US$100).
07 Indemnification
You shall defend, indemnify, and hold harmless Sonjeo and its affiliates, officers, Managing Directors, and agents from and against all claims, losses, liabilities, and expenses (including legal fees) arising out of or related to your access, your conduct, your breach of these Terms, or your violation of any law or third-party right.
08 Confidentiality & Non-Circumvention
You agree to keep all non-public information confidential and not to circumvent Sonjeo, its affiliates, or its network, or to deal directly or indirectly with any counterparty introduced by Sonjeo, for a period of five (5) years from disclosure. Breach entitles Sonjeo to injunctive relief and damages, including its full commission or fee as liquidated damages.
09 No Fiduciary Relationship
Nothing creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and Sonjeo. Sonjeo acts as infrastructure, not as your agent, adviser, or fiduciary.
10 Compliance & Sanctions
You warrant that you and your funds are not subject to any sanctions and that you comply with all applicable anti-money-laundering, anti-corruption, export-control, and other laws. We may conduct screening and may decline or unwind any matter that presents compliance risk, in our sole discretion.
11 Governing Law & Dispute Resolution
These Terms are governed by the laws of England & Wales. Any dispute shall be finally resolved by confidential binding arbitration seated in London under the LCIA Rules, before a sole arbitrator, in the English language. You waive any right to a jury trial and to participate in any class or representative action.
12 Force Majeure
Sonjeo is not liable for any failure or delay arising from events beyond its reasonable control, including acts of state, market disruption, sanctions, conflict, or infrastructure failure.
13 General
If any provision is held unenforceable, the remainder remains in effect. These Terms, together with our Privacy, NDA, and Confidentiality policies, constitute the entire agreement. We may amend these Terms at any time, effective on posting. Our failure to enforce any provision is not a waiver.
